AN ORDINANCE OF THE CITY OF SIOUX FALLS, SOUTH DAKOTA, AUTHORIZING THE ISSUANCE OF ITS HEALTH FACILITIES REVENUE REFUNDING BONDS (DOW RUMMEL VILLAGE), SERIES 2026, IN AN ORIGINAL AGGREGATE PRINCIPAL AMOUNT NOT TO EXCEED $55,000,000, THE PROCEEDS OF WHICH ARE TO BE LOANED TO DOW RUMMEL VILLAGE, A SOUTH DAKOTA NONPROFIT CORPORATION, FOR THE PURPOSE OF (A) REFUNDING PRIOR BONDS ISSUED BY THE CITY IN 2016 AND 2017 TO FINANCE AND REFINANCE FACILITIES AND RELATED COSTS FOR THE BENEFIT OF DOW RUMMEL VILLAGE, (B) PAYING CERTAIN CAPITAL COSTS FOR THE REPAIR AND DEFERRED MAINTENANCE OF THE DOW RUMMEL VILLAGE CAMPUS, (C) FUNDING A RESERVE FUND, AND (D) PAYING CERTAIN COSTS OF ISSUANCE; APPROVING THE FORM OF AND AUTHORIZING THE EXECUTION AND DELIVERY OF A BOND TRUST INDENTURE, A LOAN AGREEMENT, A MASTER INDENTURE, A MORTGAGE—ONE HUNDRED EIGHTY DAY REDEMPTION, A BOND PURCHASE AGREEMENT, AN ESCROW AGREEMENT, A CONTINUING DISCLOSURE AGREEMENT, AND A TAX REGULATORY AGREEMENT; APPROVING THE FORM OF AND AUTHORIZING THE EXECUTION AND DELIVERY OF THE BONDS AND CERTAIN RELATED DOCUMENTS; MAKING CERTAIN FINDINGS AND DETERMINATIONS WITH RESPECT TO THE BONDS; AND PROVIDING FOR THE SECURITY, RIGHTS, AND REMEDIES OF THE HOLDERS OF THE BONDS.
WHEREAS, the City of Sioux Falls, South Dakota (the “City”) is authorized by South Dakota Codified Laws, Chapter 9-54, as amended (the “Act”), to promote the general economic welfare by the provision of necessary economic development facilities, including health services and housing for the elderly; and
WHEREAS, the City has heretofore issued (i) the City of Sioux Falls, South Dakota Health Facilities Revenue Refunding Bonds, Series 2016 (Dow Rummel Village Project) (the “Series 2016 Bonds”) and (ii) the City of Sioux Falls, South Dakota Health Facilities Revenue Bonds (Dow Rummel Village Project), Series 2017 (the “Series 2017 Bonds” and together with the Series 2016 Bonds, the “Prior Bonds”) and loaned the proceeds of the Prior Bonds to Dow Rummel Village, a South Dakota corporation (the “Corporation”); and
WHEREAS, the Corporation has requested the City to issue up to $55,000,000 of Health Facilities Revenue Refunding Bonds, Series 2026 (Dow Rummel Village) (the “Series 2026 Bonds”) pursuant to the Act for the purpose of (i) refunding the Prior Bonds, (ii) financing certain costs of repair and deferred maintenance of the Corporation’s campus and (iii) paying certain costs of issuance of the Series 2026 Bonds and refunding of the Prior Bonds; and
WHEREAS, the Series 2026 Bonds are to be issued pursuant to a Bond Trust Indenture (the “Bond Indenture”) between the City and U.S. Bank Trust Company, National Association, as Bond Trustee; and
WHEREAS, the proceeds derived from the sale of the Series 2026 Bonds are to be loaned to the Corporation (the “Loan”) pursuant to the terms of a Loan Agreement between the City and the Corporation for the purposes herein described (the “Loan Agreement”); and
WHEREAS, to provide for the repayment of and security for the Loan, the Corporation intends to enter into a Master Trust Indenture together with a supplement thereto (collectively, as amended and supplemented from time to time, the “Master Indenture”) with U.S. Bank Trust Company, National Association as master trustee (the “Master Trustee”); and
WHEREAS, the Master Trust Indenture will allow for the addition of other members to the Dow Rummel Obligated Group including, without limitation, the Dow Rummel Foundation (the “Foundation”); and
WHEREAS, proceeds of the Series 2026 Bonds sufficient to defease the Prior Bonds will be deposited with U.S. Bank Trust Company, National Association as Escrow Agent (“Escrow Agent”) to pay the optional redemption price of the Prior Bonds as provided in an Escrow Agreement among the City, Corporation and Escrow Agent (the “Escrow Agreement”); and
WHEREAS, on June 16, 2026, following due public notice, a public hearing was conducted concerning the proposed issuance of the Series 2026 Bonds and the property to be financed or refinanced with the proceeds of the Series 2026 Bonds at which public hearing residents, taxpayers, and other interested persons were given the opportunity to express their views; and
NOW, THEREFORE, BE IT ORDAINED BY THE CITY OF SIOUX FALLS, SOUTH DAKOTA, THAT:
Section 1. The City finds and determines that it is appropriate and in the public interest to issue the Series 2026 Bonds for the purpose of (i) refunding the Prior Bonds, (ii) financing certain costs of repair and deferred maintenance of the Corporation’s campus, (iii) funding a master reserve fund, and (iv) paying certain costs of issuance of the Series 2026 Bonds. The City further finds and determines that the refunding of the Prior Bonds and the issuance, sale, and delivery of the Series 2026 Bonds are consistent with the purposes of the Act.
Section 2. For the purposes set forth in Section 1, there is hereby authorized the issuance, sale, and delivery of the Health Facilities Revenue Refunding Bonds (Dow Rummel Village), Series 2026 in the aggregate principal amount not to exceed $55,000,000. The Series 2026 Bonds shall be issued in such principal amounts, shall be numbered, shall be dated, shall mature, shall be subject to redemption prior to maturity, and shall be in such form and have such other details and provisions as are prescribed in the Bond Indenture, substantially in the form now on file with the City. The final scheduled maturity of the Series 2026 Bonds shall be not later than November 1, 2061, and the Series 2026 Bonds shall bear interest at the rates established through the marketing of the Series 2026 Bonds; provided that no interest rate on the Series 2026 Bonds shall exceed six and one-half percent (6.5%) per annum and the yield on the Series 2026 Bonds (calculated consistent with Section 148 of the Internal Revenue Code of 1986, as amended) shall not exceed six and one-half percent (6.5%). The Series 2026 Bonds are approved in substantially the forms in the Bond Indenture, subject to such changes that are not inconsistent with this ordinance and applicable law that are approved by the Mayor, Director of Finance, City Clerk, and City Attorney. The issuance and delivery of the Series 2026 Bonds shall be conclusive evidence that the Mayor, Director of Finance, City Clerk, and City Attorney have approved all provisions of the Series 2026 Bonds as issued and any changes to the form of the Series 2026 Bonds on file with the City on the date hereof.
Section 3. The Series 2026 Bonds shall be special obligations of the City payable solely from the revenues and other funds pledged pursuant to the Bond Indenture. The Mayor, Director of Finance, City Clerk, City Attorney, and other officers of the City (the “City Officials”) are hereby authorized and directed to enter into, execute, and deliver the Bond Indenture, and are hereby authorized and directed to execute and deliver the Series 2026 Bonds in accordance with the terms of the Bond Indenture, and it is hereby provided that the Bond Indenture shall provide the forms and conditions, covenants, rights, obligations, duties, and agreements of the bondholders, the City, and the Bond Trustee, as set forth therein.
All the provisions of the Bond Indenture, when executed as authorized herein, shall be deemed to be a part of this ordinance as fully and to the same extent as if incorporated verbatim herein and shall be in full force and effect from the date of execution and delivery of the Bond Indenture. The Bond Indenture shall be substantially in the form now on file with the City, with such necessary and appropriate variations, omissions, and insertions as do not materially change the substance thereof, or as the Mayor, Director of Finance, City Clerk, and City Attorney, in their discretion, shall determine, and the execution and delivery thereof by the City Officials shall be conclusive evidence of such determination.
Section 4. The City Officials are hereby authorized and directed to enter into, execute, and deliver the Loan Agreement, providing for the loan of the proceeds derived from the sale of the Series 2026 Bonds to the Corporation. All of the provisions of the Loan Agreement, when executed and delivered as authorized herein, shall be deemed to be a part of this ordinance as fully and to the same extent as if incorporated verbatim herein and shall be in full force and effect from the date of execution and delivery of the Loan Agreement. The Loan Agreement shall be substantially in the form now on file with the City with such variations, omissions, and insertions as do not materially change the substance thereof, or as the Mayor, Director of Finance, City Clerk, and City Attorney, in their discretion, shall determine, and the execution thereof by the City Officials shall be conclusive evidence of such determination.
Section 5. The City hereby approves the execution and delivery by the Corporation of: (i) a Mortgage—One Hundred and Eighty Day Redemption, (the “Mortgage”), granting a first mortgage lien on the facility to the Master Trustee, for the benefit of specified creditors of the Corporation under the Master Trust Indenture, including the owners of the Series 2026 Bonds; (ii) the Master Indenture; (iii) a Continuing Disclosure Agreement between the Corporation and the Bond Trustee providing for the continuing disclosure of certain information regarding the Corporation, its facilities and the Series 2026 Bonds in accordance with the requirements of Rule 15c2-12(b) promulgated under the Securities Exchange Act of 1934, as amended; (iv) a Tax Regulatory Agreement among the City, the Corporation and the Bond Trustee (the “Tax Regulatory Agreement”); (v) the Escrow Agreement; and (vi) all other documents, instruments, and security of any nature provided by the Corporation to the City, the Master Trustee or the Bond Trustee, for the benefit of the owners of the Series 2026 Bonds.
Section 6. The City Officials are hereby authorized and directed to enter into, execute, and deliver one or more Bond Purchase Agreements, among the City, Colliers Securities, LLC (the “Underwriter”), and the Corporation (collectively, the “Bond Purchase Agreement”), relating to the Series 2026 Bonds. All of the provisions of the Bond Purchase Agreement, when executed and delivered as authorized herein, shall be deemed to be a part of this ordinance as fully and to the same extent as if incorporated verbatim herein and shall be in full force and effect from the date of execution and delivery of the Bond Purchase Agreement. The Bond Purchase Agreement shall be substantially in the form now on file with the City, with such necessary and appropriate variations, omissions, and insertions as do not materially change the substance thereof, or as the City Attorney, Mayor, City Clerk, and Director of Finance, in their discretion, shall determine, and the execution thereof by the City Officials shall be conclusive evidence of such determination. If any such Bond Purchase Agreement is executed or delivered prior to the publication of this ordinance and the expiration of the referendum period specified in Section 15 hereof, the effectiveness of such agreement as to the City shall be expressly subject to the condition that such publication shall occur and that no petition for referendum be filed within the prescribed referendum period.
Section 7. The Bond Trustee is hereby appointed the custodian of the funds and accounts created under the Bond Indenture and the authenticating agent, paying agent, and registrar with respect to the Series 2026 Bonds.
Section 8. The City Officials are hereby authorized to execute and deliver, on behalf of the City, the Tax Regulatory Agreement and such other certificates, instruments, and other documents as are necessary, customary, or appropriate in connection with the issuance, sale, and delivery of the Series 2026 Bonds, or are necessary to establish the validity or enforceability of the Series 2026 Bonds, or are required by bond counsel to establish the validity or enforceability of the Series 2026 Bonds or the exclusion from gross income of interest on the Series 2026 Bonds for purposes of federal income taxation and state of South Dakota taxation (including a certificate as to the status of the Series 2026 Bonds as not being “arbitrage bonds,” an Information Return for Tax-Exempt Private Activity Bond Issues, Form 8038), and UCC-1 financing statements.
Section 9. The City hereby consents to the distribution of a Preliminary Official Statement and a final Official Statement relating to the offer and sale of the Series 2026 Bonds (collectively, the “Official Statements”). The Official Statements are the sole materials consented to by the City for use in connection with the offer and sale of the Series 2026 Bonds. The City has not participated in the preparation of the Official Statements and takes no responsibility for and makes no representation or warranty as to the accuracy or completeness of such information, except for information in the Official Statements under the heading “LITIGATION—The Issuer.”
Section 10. All covenants, stipulations, obligations, and agreements of the City contained in this ordinance and the aforementioned certificates, instruments, and documents shall be deemed to be the covenants, stipulations, obligations, and agreements of the City to the full extent authorized or permitted by law, and all such covenants, stipulations, obligations, and agreements shall be binding upon the City. No covenant, stipulation, obligation, or agreement herein contained or contained in the aforementioned certificates, instruments, or documents shall be deemed to be a covenant, stipulation, obligation, or agreement of any member of the City Council of the City, or any officer, agent, or employee of the City in that person’s individual capacity, and neither the City Council of the City nor any officer or employee executing the Series 2026 Bonds shall be liable personally on the Series 2026 Bonds or be subject to any personal liability or accountability by reason of the issuance thereof.
No provision, covenant, or agreement contained in the aforementioned certificates, instruments, or documents, or in the Series 2026 Bonds, or in any other document related to the Series 2026 Bonds, and no obligation therein or herein imposed upon the City or the breach thereof, shall constitute or give rise to any pecuniary liability of the City or any charge upon its general credit or taxing powers. The Series 2026 Bonds shall never constitute an indebtedness of the City within the meaning of any provision or limitation of the South Dakota Constitution or statutes, or the City Charter and shall not constitute or give rise to any pecuniary liability of the City or any charge upon its general credit or taxing powers. In making the agreements, provisions, covenants, and representations set forth in such documents, the City has not obligated itself to pay or remit any funds or revenues, other than funds and revenues derived from the Loan Agreement, which are to be applied to the payment of the Series 2026 Bonds, as provided therein and in the Bond Indenture.
Section 11. Except as herein otherwise expressly provided, nothing in this ordinance or in the aforementioned documents, expressed or implied, is intended or shall be construed to confer upon any person or firm or corporation, other than the City or any owner of the Series 2026 Bonds issued under the provisions of this ordinance any right, remedy, or claim, legal or equitable, under and by reason of this ordinance or any provision hereof, this ordinance, the aforementioned documents, and all of their provisions being intended to be and being for the sole and exclusive benefit of the City and any owner from time to time of the Series 2026 Bonds issued under the provisions of this ordinance.
Section 12. In case any one or more of the provisions of this ordinance, or of the aforementioned documents, or of the Series 2026 Bonds issued hereunder shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this ordinance, or of the aforementioned documents, or of the Series 2026 Bonds, but this ordinance, the aforementioned documents, and the Series 2026 Bonds shall be construed and enforced as if such illegal or invalid provision had not been contained therein. All of the aforementioned documents are on file in the office of the Director of Finance and are available for inspection by any interested party.
Section 13. The Series 2026 Bonds, when executed and delivered, shall contain a recital that they are issued pursuant to the Act, and such recital shall be conclusive evidence of the validity of the Series 2026 Bonds and the regularity of the issuance thereof and that all acts, conditions, and things required by the laws of the state relating to the adoption of this ordinance, to the issuance of the Series 2026 Bonds, and to the execution of the aforementioned documents to happen, exist, and be performed precedent to and in the enactment of this ordinance, and precedent to issuance of the Series 2026 Bonds, and precedent to the execution of the aforementioned documents have happened, exist, and have been performed as so required by law.
Section 14. The City Officials are hereby authorized to do all acts and things required of them by or in connection with this ordinance, the aforementioned certificates, instruments, or documents, and the Series 2026 Bonds for the full, punctual, and complete performance of all the terms, covenants, and agreements contained in the Series 2026 Bonds, the aforementioned certificates, instruments, and documents, and this ordinance. In the event that for any reason any City Official is unable to carry out the execution of any of the documents or other acts provided herein, any person delegated the authority to act on behalf of such City Official is hereby authorized to act in the capacity of such City Official and undertake such execution or acts on behalf of the City with full force and effect, which executions or acts shall be valid and binding on the City. If the person whose signature appears on any of the foregoing certificates, instruments, or documents shall cease to be a City Official before the date of issuance of the Series 2026 Bonds such signature shall, nevertheless, be valid and sufficient for all purposes.
Section 15. The City shall publish this ordinance after its passage. The City shall not issue the Series 2026 Bonds authorized hereunder if within twenty (20) days after publication of this ordinance there shall be filed with the City a petition requesting a referendum in the form required by, and signed by the requisite number of voters as provided in, Chapter 9-20 of the South Dakota Codified Laws, in which event, this ordinance shall not become operative and the City shall not issue the Series 2026 Bonds unless and until the requirements of Chapter 9-20 of the South Dakota Codified Laws are satisfied.
Section 16. All prior resolutions or ordinances which conflict with the provisions of this ordinance are hereby repealed to the extent of such conflict.

ORDINANCE NO. 52-26
AN ORDINANCE OF THE CITY OF SIOUX FALLS, SD, AUTHORIZING THE ISSUANCE OF ITS WASTEWATER SYSTEM REVENUE BOND TO THE SOUTH DAKOTA CONSERVANCY DISTRICT, AUTHORIZING THE USE OF THE PROCEEDS THEREOF FOR CAPITAL IMPROVEMENTS, PLEDGING THE WASTEWATER SYSTEM REVENUE OF THE CITY TO THE PAYMENT OF SAID WASTEWATER SYSTEM REVENUE BOND, FIXING THE TERMS OF SUCH WASTEWATER SYSTEM REVENUE BOND, AUTHORIZING THE EXECUTION AND DELIVERY OF A LOAN AGREEMENT BETWEEN THE CITY AND THE SOUTH DAKOTA CONSERVANCY DISTRICT, AND AUTHORIZING THE EXECUTION AND DELIVERY OF SUCH WASTEWATER SYSTEM REVENUE BOND TO THE SOUTH DAKOTA CONSERVANCY DISTRICT NOT TO EXCEED $51,900,000.
BE IT ORDAINED BY THE CITY OF SIOUX FALLS, SD:
WHEREAS, the City currently operates a wastewater system and has determined that improvements to the wastewater facilities are necessary and qualify as an improvement, extension, or addition to its wastewater system; and
WHEREAS, the City of Sioux Falls (the “City”) is authorized by its City Charter (the “City Charter”) and by Chapters 9-40 and 6-8B of the South Dakota Codified Laws to issue wastewater system revenue bonds to finance the acquisition of capital improvements to its wastewater system in anticipation of the collection of wastewater system revenues; and
WHEREAS, the City is authorized by its City Charter and Chapter 9-48 of the South Dakota Codified Laws (“SDCL Chapter 9-48”) to establish just and equitable rates of charges to be paid to such City for the use of the wastewater system of the City, directly or indirectly; and the City has adopted and enacted City of Sioux Falls Ordinance No. 43-23 pursuant to its City Charter and SDCL Chapter 9-48 which Ordinance establishes charges for the use of the wastewater system of the City; and
WHEREAS, the City has determined that the improvements described in Exhibit A (the “Project”) are necessary for the conduct of the City’s operation of its governmental programs and qualify under its City Charter and Chapter 6-8B of the South Dakota Codified Laws (“Chapter 6-8B”) as improvements that may be financed through the issuance of the Bond; and
WHEREAS, the South Dakota Conservancy District (the “District”) has established the South Dakota State Revolving Fund Loan Program pursuant to SDCL 46A-1-49 (the “Program”) whereby participating public entities, by issuing their bonds to the District, may acquire necessary improvements and reduce the interest and issuance costs of the public entities below what could be achieved if the improvements to be acquired by each public entity individually were to be financed and acquired separately; and
WHEREAS, the City desires to finance $51,900,000 of the costs of the Project through a loan from the Program under the terms of a loan agreement in substantially the form attached hereto as Exhibit B (the “Loan Agreement”), such loan to be evidenced by a Wastewater System Revenue Bond, Series 2026B, in the amount of $51,900,000 (the “Bond”); and
WHEREAS, it is in the best interests of the City to participate in the Program, to authorize the borrowing of funds from the District for the financing of the Project by authorizing and issuing its Wastewater System Revenue Bond to the District with the terms approved hereby for an aggregate sum not in excess of $51,900,000 and to pledge the net revenues of the City’s wastewater system as security for the repayment of such Bond;
NOW, THEREFORE, BE IT ORDAINED BY THE CITY OF SIOUX FALLS, SD, THAT:
Section 1. Findings.
(a) The City desires and hereby determines it is necessary to improve its wastewater facilities by undertaking the Project. The City hereby expressly finds that if the Project is not undertaken, certain deficiencies in the wastewater system will pose a health hazard to the City and its inhabitants who are served by the City’s wastewater system. Because of the functional interdependence of the various portions of the wastewater system and the nature of the improvements financed, the City hereby determines that the Project will substantially benefit the entire wastewater system and all of its users within the meaning of SDCL 9-40-15 and SDCL 9-40-17. Therefore, the City hereby determines that for the purposes of the Act, including, in particular, SDCL 9-40-17, the net income or revenues of the entire wastewater system, as extended, added to, or improved by the Project shall be deemed to be the net income or revenues available to be pledged to the payment of the Bond issued hereunder.
(b) The City finds that it is desirable and expedient to participate in the Program and to authorize and deliver the Loan Agreement and to authorize, issue, and sell the Bond to the District as provided herein and in the Loan Agreement.
Section 2. Authorization. The Loan Agreement and the issuance of the Bond are hereby authorized and approved, with said Bond to be issued on a parity basis, in the aggregate principal amount not in excess of the $51,900,000 with the terms and subject to the provisions as set forth in the Loan Agreement. It is further authorized and approved to secure the repayment of the Bond with a pledge of the wastewater system revenue, as set forth in the Loan Agreement.
Section 3. Execution of Documents. In connection with the authorization, issuance, and delivery of the Bond, the Mayor, City Clerk, Finance Director, City Attorney, and other officers of the City shall be authorized to enter into, execute, and deliver the following documents, instruments, and agreements as may be deemed necessary or appropriate by such officers and the District, consistent with the terms of this Ordinance:
(A) The Loan Agreement providing for the issuance of the Bond and setting forth the terms thereof;
(B) The Bond; and
(C) Such other documents, agreements, or instruments as may be necessary to make covenants and recite facts required to demonstrate the validity and enforceability of the Bond under the laws of the state of South Dakota and to assure the exclusion of the interest thereon from the gross income of the owner of the Bond under the Internal Revenue Code of 1986, as amended, and to effectuate the terms and intent of this Ordinance.
The execution and delivery of the Loan Agreement, the Bond, and all such other agreements, documents, and instruments as necessary and appropriate are hereby authorized, all of which to be in substantially the form on file with the City on the date hereof and with such necessary and appropriate variations, omissions, and insertions as are consistent with the terms of this Ordinance as determined by the Mayor in consultation with the City Attorney.
Execution and delivery of such documents by the Mayor, Finance Director, and/or City Attorney shall constitute evidence that such documents are consistent with the terms of this Ordinance and the items have been duly authorized, executed, and delivered by the City and are enforceable against the City in accordance with their terms, subject to customary exceptions relating to bankruptcy, reorganization, insolvency, and other laws affecting creditors’ rights. The Mayor, Finance Director, and the City Attorney are further authorized to take such other actions as may be required to effectuate the terms and intent of this Ordinance.
Section 4. Severability. In case any one or more of the provisions of this Ordinance, the Loan Agreement, or the Bond authorized hereby shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this Ordinance, the Loan Agreement, or the Bond, but this Ordinance, the Loan Agreement, or the Bond shall be construed as if such illegal or invalid provision had not been contained therein.
Section 5. Satisfaction of Conditions Precedent. All acts, conditions, and things required by the laws of the state of South Dakota, relating to the adoption of this Ordinance, to the issuance of the Bond, and to the execution of the Loan Agreement and the other documents referred to above shall be satisfied prior to the issuance of the Bond. The designated officers are hereby authorized to do all acts and things required by them under this Ordinance, the Loan Agreement, and the other documents referred to above for the full, punctual, and complete performance of all the terms, covenants, and agreements contained in the Bond, the Loan Agreement, the other documents referred to above, and this Ordinance.
Section 6. Publication and Effective Date. After passage, this Ordinance (except for Exhibit B hereto which is on file and available for inspection in the offices of the City Clerk) shall be published in the City’s officially-designated newspaper, and will be effective on the 20th day following such publication, unless suspended by referendum in accordance with Chapter 9-20 of the South Dakota Codified Laws. After becoming effective, this Ordinance will be irrepealable until the Bond issued hereunder has been paid in full, except that prior to issuance of the Bond, this Ordinance may be amended in accordance with South Dakota law.
Section 7. Prior Resolutions. All prior resolutions or ordinances that conflict with the provisions of this Ordinance are hereby repealed to the extent of such conflict.

BE IT ORDAINED BY THE CITY OF SIOUX FALLS, SD:
Section 1. That Section 36.020 of the Code of Ordinances of Sioux Falls, SD, is hereby amended to read:
§ 36.020 AUTHORIZATION OF CONTRACTS AND AGREEMENTS.
(a) In addition to provisions in city charter §§ 2.11(c) and 2.12, contracts, agreements and amendments to contracts and agreements that are in excess of $100,000 per vendor, for each calendar year, shall be approved by the city council.
(b) Each contract or agreement of the city shall be executed in the name of the municipality by the mayor, interim successor, or delegated signer, and shall be attested by the city clerk. The city clerk shall affix the corporate seal. Any contract or agreement for park purposes may be reviewed by the parks and recreation board prior to council consideration. All contracts involving the expenditure of funds less than $100,000 that are entered into by the mayor and are not subject to council approval shall be noticed to the city council on the consent agenda under communications. All contracts or agreements which are subject to approval by the city council shall be delivered to the city clerk office pursuant to § 30.014 and placed on the consent agenda under approval of contracts and agreements. Change orders in excess of $100,000 involving the expenditure of funds shall be noticed to the city council on the consent agenda under communications. Deductive change orders do not need to be noticed to the city council.
(c) Contracts and agreements pertaining to subjects that are permissible for executive session shall not be subject to this section.
(d) The mayor may delegate signature authority by executive order to a department director, assistant director or the city engineer the following document types: Real estate closing documents, easement and encroachment documents, subdivision construction agreements, construction change orders of $100,000 or less, mortgage satisfactions, vehicle titles, grant applications and reporting, and banking and investment documents and agreements.

(a) The following fees shall be paid for the recovery of the direct costs of search, duplication, and review of public records by city employees not addressed by § 41.002. However, no fee shall be charged for the first hour.
Fee structures for all public records requests are determined based on placement in one of these categories:
Commercial Use Non-Commercial Use
Seeking information for a use or purpose that furthers the commercial, trade, or profit interests of the requester. Seeking information for a non-commercial use including educational institution, non-commercial scientific, news media, and personal use.
Hourly fees are determined based on actual estimated cost of employee salary plus benefits, discounted for non-commercial use requests. City will assess charges that recover the full direct costs of searching for, reviewing for release, and duplicating the record sought.

(b) Any city department may require a prepaid deposit before performing any work if the total estimated fee is expected to exceed $50, or if the requester has previously failed to pay a properly assessed fee in a timely manner.
(c) Definitions. The following definitions shall be utilized for purposes of determining fees.
COMMERCIAL USE. Commercial use request means a request from or on behalf of one who requests information for a use or purpose that furthers the commercial, trade, or profit interest of the requester or the person on whose behalf the request is made. This includes the intent to use the requested information to directly or indirectly create, train, test, or otherwise improve any machine learning algorithms, artificial intelligence systems, large language models (LLMs), or similar neural networks or architectures.
DUPLICATION. Duplication fees include the reasonable “direct costs” of making copies of records, including paper copies or machine-readable documentation.
EDUCATIONAL INSTITUTION. Educational institution means a preschool, a public or private elementary or secondary school, an institution of undergraduate or graduate higher education, an institution of professional education, or an institution of vocational education, that operates a program or programs of scholarly research.
NEWS MEDIA. Representative of the news media means any person actively gathering news for an entity that is organized and operated to publish or broadcast news to the public. The term news means information that is about current events or that would be of current interest to the public. News media include television or radio stations broadcasting to the public at large and publishers of periodicals (but only in those instances when they can qualify as disseminators of “news”) who make their products available for purchase by the general public.
NON-COMMERCIAL SCIENTIFIC. Non-commercial scientific institution means an institution that is not operated on a “commercial” basis and that is operated solely for the purpose of conducting scientific research, the results of which are not intended to promote any particular product or industry.
NON-COMMERCIAL USE. Requests from persons or entities defined as educational institution, news media, non-commercial scientific, or personal use.
PERSONAL USE. Request by an individual for public records assessing government-held information for private non-commercial purposes. The use must not involve the exchange of money, directly or indirectly resulting in financial gain, or be used for marketing of a business or product.
REVIEW. Review costs shall include the direct costs incurred during the initial examination of a document for the purposes of determining whether the documents must be disclosed and for the purposes of withholding any portions exempt from disclosure under SDCL § 1-27-1.5. Review time includes processing records for disclosure.
SEARCH. Search fees include all the time spent looking for responsive materials, including, if necessary, page-by-page or line-by-line identification of material within documents.
